Article 1: Subject Matter of Contract
Simple Information, Inc. (hereinafter referred to as "Simple Information") provides telecommunications networks and Internet connection systems for customers to engage in Internet-related services.
Customer applications for virtual, cloud, or physical computing services (hereinafter referred to as "the Service") shall be handled in accordance with the terms of this contract.
Article 2: Data Circuit Rental and Related Equipment Requirements
When customers lease this Service from Simple Information, if data circuits are required, customers must apply directly with Type I telecommunications operators or provide necessary documents to authorize Simple Information to handle the application on their behalf. The rights and obligations arising between customers and Type I telecommunications operators regarding data circuit rental are unrelated to Simple Information.
Network connection equipment required for data circuits rented from Type I telecommunications operators shall be provided and maintained by customers. Simple Information is not responsible for direct or indirect losses and compensation caused by customers' system errors or equipment failures.
Simple Information bears no responsibility for any losses caused by poor transmission quality or service interruption from the Type I telecommunications operator providing data circuit services.
Customers shall pay Type I telecommunications operators directly for installation, relocation, and monthly rental fees for data circuits. Customers may also authorize Simple Information to make payments to Type I telecommunications operators on their behalf.
Article 3: Management of Leased Equipment
For equipment leased from Simple Information, ownership remains with Simple Information. Customers may not sell, lend, pledge, lease, transfer, or otherwise dispose of the equipment. In case of violation, Simple Information may immediately recover the equipment and demand compensation for all resulting losses.
Customers shall exercise due care as prudent administrators in managing and using equipment leased from Simple Information. In case of damage or loss, except for force majeure events, customers shall compensate Simple Information according to prices set by Simple Information.
If equipment leased from Simple Information malfunctions, customers shall immediately notify Simple Information, which shall promptly resolve the malfunction or assist customers in solving related issues.
Article 4: Application and Changes
Customers applying for the Service shall submit application forms along with company registration documents and identification documents of the company's responsible person.
Customers shall guarantee that their application information is true and complete. Customers shall be responsible for any disputes arising from false information.
If customers require changes to the Service, they shall complete relevant forms and follow Simple Information's prescribed procedures.
Article 5: Special Provisions
Simple Information only provides Service-related services. As the Internet is an open network maintained by various network providers, Simple Information cannot be responsible for the accuracy and completeness of information resources accessed by customers. Simple Information shall not be liable for direct or indirect losses resulting from transmission speeds or network data access.
Simple Information has the right to suspend or terminate services or contracts related to the Service if customers engage in any of the following, and customers shall bear all legal responsibilities:
Actions that endanger communications or affect other users' rights.
Sending electronic messages to recipients' mailboxes without consent, where electronic messages refer to emails, text messages, or other information transmitted through communication devices.
Maliciously attacking others' equipment through mass electronic message transmission.
Spreading computer viruses or programs that can interfere with normal computer operations.
Distributing threatening, defamatory, personal attacks, privacy violations, pornographic, or other text, images, or videos that violate public order and morals.
Actions that affect Simple Information's system operations or increase system load.
Other actions that violate others' rights or laws.
Customers shall comply with international usage practices and shall not attempt to intrude into other systems on the network. They shall not destroy network services or engage in activities prohibited by public order, good morals, laws, or administrative/judicial orders.
If customers violate the preceding provisions, besides being personally responsible, Simple Information may terminate services to maintain service quality and disconnect hosted equipment from external networks. Customers shall bear any consequences and potential losses.
Customers shall not illegally resell, transfer, or in any form deliver IP addresses provided by Simple Information to third parties. In case of violation, Simple Information has the right to suspend or terminate Service-related services or contracts, and customers shall bear all legal responsibilities.
Article 6: Payment Terms
Service charges begin from the activation date, with billing methods as shown in the service application/change form. If customers have concerns, they must notify Simple Information within five days of receiving the activation notice. After this period, customers are deemed to have confirmed and accepted the Service content and activation date.
For system setup fees, monthly fees, and other charges, Simple Information shall issue bills one month before the due date for the following month's fees. Customers shall pay by wire transfer or cash check before the due date per Simple Information's notice and fax the transfer receipt to Simple Information's accounting contact. If customers dispute fee calculations, they must notify Simple Information in writing with reasons within five days of receiving the payment notice. After this period, customers are deemed to fully accept and shall pay fees as scheduled.
Notification addresses shall be based on those registered in the application form. If customers have provided an email address, they agree to receive notifications electronically. Customers shall notify Simple Information in advance of any address changes in writing or electronically.
If customers fail to pay as per the preceding paragraph, they shall pay daily interest at a monthly rate of 1% from the day after the due date until actual payment. Simple Information shall include this in the next bill and may terminate all services to customers.
Service charges are calculated monthly. Even if actual usage is less than one month, fees are still charged for a full month. However, if the contract is terminated for reasons not attributable to customers, fees shall be calculated proportionally based on actual usage.
Monthly fees shall be settled according to the rates listed in the application form. Simple Information may adjust fees with one month's notice to customers before the effective date, after which adjusted rates apply.
Article 7: Taxes
Customers agree to bear all taxes related to the Service. If tax laws require Simple Information to collect taxes, customers agree to their inclusion in the bill.
Article 8: Damage Compensation and Insurance
Per Article 23 of the Telecommunications Act, Simple Information is not liable for damages caused by Type I telecommunications (fixed network) providers' line failures, interruptions resulting in errors, delays, disruptions, or transmission failures, but will assist customers in contacting local Type I telecommunications providers for repairs.
If customers experience continuous interruption for 24 hours or more due to Simple Information's factors, disconnected time will not be charged and will be deducted from the next bill.
Simple Information is not responsible for restoration or compensation for line interruptions or equipment damage caused by force majeure events such as typhoons, earthquakes, tsunamis, floods, or war.
Both parties agree that Simple Information's total liability for the Service is limited to Paragraph 1 and excludes indirect damages, business losses, or other damages. Customers should obtain relevant insurance as needed to protect their interests.
Article 9: Service Termination
If customers violate these contract terms, Simple Information may immediately terminate this application and contract if customers fail to rectify within 14 days after written notice. Such termination does not affect Simple Information's right to claim damages.
If customers do not provide written notice of non-renewal 30 days before service expiration, the Service automatically renews for one year. Customers may terminate with 30 days' written notice before the intended termination date, effective upon completing written cancellation. Data circuit fees collected on behalf of Type I telecommunications operators shall be calculated based on actual termination dates provided by them; customers may not refuse payment citing service termination.
Customers may terminate during the service period or automatic renewal period but must pay the following termination fees as reasonable estimates of actual damages and punitive damages:
Termination before service commencement requires payment of three months' service fees.
Termination after service activation but before period expiration requires payment of issued invoices plus the full amount Simple Information would have received for complete service delivery.
Customers shall exercise due care with network equipment provided by Simple Information and return it upon service termination. If customers cannot return, lose, damage equipment, or require repeated collection attempts, they shall compensate Simple Information at set prices.
Article 10: Changes and Compliance
If Simple Information must suspend or terminate all or part of the Service due to legal, administrative, or judicial orders, changed circumstances, or business needs, it shall notify customers one month before the planned suspension or termination date. Customers agree to comply without objection.
Article 11: Personal Data Protection
Simple Information has confidentiality obligations regarding customers' personal data obtained through business operations and shall use such data only within the minimum necessary scope and purpose for contract fulfillment. By signing this contract, customers consent to Simple Information's use of their personal data within said scope and purpose. Except as otherwise provided in this contract or when customers exercise rights under law (Taiwan's Personal Data Protection Act and/or EU GDPR), or in the following cases complying with Article 20(1) of the Personal Data Protection Act, Article 7 of the Telecommunications Act, or other relevant laws, Simple Information shall not disclose to third parties:
Judicial, supervisory, or law enforcement agencies requiring information for criminal investigation or evidence collection.
Other government agencies requiring information for legitimate exercise of public authority.
Agencies related to public safety requiring information for emergency rescue.
Under Taiwan's Personal Data Protection Act and without hindering Simple Information's necessary contract fulfillment, customers may exercise rights to: query or request access, request copies, request supplements or corrections, request cessation of collection, processing, and use, and request deletion.
Individuals domiciled or residing in the EU may exercise the following rights under GDPR without hindering Simple Information's necessary contract fulfillment: right of access, right to rectification, right to erasure (right to be forgotten), right to restriction of processing, right to data portability, and right to object.
Unspecified matters shall be handled according to the Company's Privacy Policy.
Article 12: Contract Modification
Modifications, deletions, or additions to this application and contract terms require mutual agreement through signed documents, unless otherwise specified. If either party has opinions or disputes, contact persons shall convene coordination meetings for joint resolution.
This application and contract terms constitute the entire agreement between parties regarding Service rental, superseding all previous oral communications, written suggestions, negotiations, statements, commitments, and other communications.
Article 13: Unspecified Matters
Unspecified matters shall follow relevant Taiwan laws, National Communications Commission (NCC) regulations, Taiwan Network Information Center (TWNIC) and Asia Pacific Network Information Centre (APNIC) standards and recommendations.
Attachments to these contract terms are considered part thereof. If attachment contents conflict with these terms, these terms shall prevail.
Article 14: Governing Court
Both parties agree that the Taiwan Taipei District Court shall be the court of first instance for all disputes arising from this contract.
